1. Agreement Overview

These Terms of Service (“Terms”) govern your use of services provided by Marketplace Maven LLC, including offerings under the names:

  • Marketplace Maven
  • MavenOS
  • Contractor Maven

By engaging our services, you agree to these Terms.

Plain English:
If you work with us, this is the agreement we’re both operating under.


2. Eligibility

You represent and warrant that:

  • You are at least 18 years of age
  • You have the authority to enter into a binding agreement

Plain English:
Our services are for business owners and operators. If you’re working with us, we assume you can legally make decisions and enter agreements.


3. Scope of Services

Marketplace Maven provides revenue architecture advisory, system design, and implementation support, including but not limited to:

  • Revenue Architecture Diagnostic
  • Revenue Architecture Partnership (RAP)
  • MavenOS system infrastructure
  • Contractor Maven services

Services may include:

  • Analysis and recommendations
  • System design and configuration
  • CRM and automation work (if access is granted)

4. Nature of Engagement

Our work combines advisory and implementation support.

  • Diagnostics are primarily analytical and advisory
  • Ongoing engagements may include implementation

No Guarantee of Results

Outcomes depend on factors outside our control, including:

  • Client execution
  • Internal team performance
  • Market conditions
  • Third-party platforms

A well-designed system improves the probability of results. It does not eliminate variables.

Plain English:
We design better systems. What happens after depends on how they’re used.


5. Payments & Refunds

Payment Terms

  • All fees are due as agreed at the time of purchase
  • Recurring services are billed at the beginning of each billing period

No Refund Policy

All payments are non-refundable.

Exceptional Circumstances

We may, at our sole discretion, consider exceptions in cases of significant, unforeseen hardship.

Such exceptions:

  • Are not guaranteed
  • Do not establish precedent

Plain English:
Once we start, you’re paying for the work and thinking involved — not a guaranteed outcome. If something serious happens, we can talk.


6. Cancellation Terms

MavenOS

  • 30-day written notice required
  • Billing continues through notice period

RAP (Retainer)

  • 60-day written notice required
  • Work and billing continue during this period

Plain English:
These systems take time to build and stabilize. Quick starts and stops don’t work — for you or for us.


7. Chargebacks & Payment Disputes

Initiating a chargeback without first attempting resolution constitutes a breach of this agreement.

We reserve the right to:

  • Suspend or terminate services
  • Recover associated fees and costs

8. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information
  • Maintain internal accountability for execution
  • Ensure team participation where required

We are not responsible for outcomes impacted by:

  • Internal team behavior
  • Failure to follow process
  • Client or customer interactions

9. System Access & Data

You may grant us access to your systems (CRM, automation tools, etc.).

By doing so, you acknowledge:

  • We are working within complex, third-party environments
  • System behavior is not fully predictable

No Liability

We are not liable for:

  • Data loss
  • Automation errors
  • System misconfigurations
  • Third-party platform failures

Good Faith Correction

We do not intentionally delete client data.

If an issue arises due to our work, we will make a reasonable, good-faith effort to identify and correct it.

Plain English:
We’re working inside real systems. Things can behave unexpectedly. We’ll help fix issues — but we can’t guarantee perfection.


10. Third-Party Platforms

Our services may rely on third-party software and infrastructure.

We are not responsible for:

  • Platform outages
  • Delivery failures (including messaging/SMS)
  • Changes to third-party systems

11. Intellectual Property

Client Ownership

You retain ownership of:

  • Your data
  • Your CRM instance
  • Your business-specific configurations

Marketplace Maven Ownership

We retain ownership of:

  • Frameworks
  • Methodologies
  • Templates
  • System logic and architecture

Restrictions

You may not:

  • Resell our frameworks
  • Distribute our methodologies externally
  • Provide our systems to third parties for replication

Plain English:
You own your business. We own how we build systems.


12. Limitation of Liability

To the maximum extent permitted by law:

Marketplace Maven LLC is not liable for:

  • Indirect or consequential damages
  • Loss of revenue or business opportunity
  • System or operational disruptions

Our total liability is limited to the amount paid for services.


13. Dispute Resolution (Arbitration)

Any dispute arising from these Terms shall be resolved through binding arbitration, rather than court.

  • Arbitration will take place in Minnesota
  • Each party bears its own legal costs

14. Governing Law

These Terms are governed by the laws of the State of Minnesota.


15. Updates to Terms

We may update these Terms periodically.

Continued use of services constitutes acceptance of any updates.
